Draft — pending legal review

This text is an internal draft for product design. It has no legal effect until reviewed by counsel and published as an official version.

Terms of Service

These terms apply whenever you use the platform, whether with a personal account, an account provided by your company, or through a partner. Written in plain language.

Updated 22 septembre 2026Version 0.1-draft

1. Scope and parties

These terms are an agreement between you (the user) and the operator of the hoctienganh.vn platform (“we”). They cover the website, the web app, APIs and all related services.

If you use the platform through an account provided by a company or partner centre, the contract between us and that organisation may add terms of its own (for example seat duration or a shorter retention policy). In every case, your privacy and your right to withdraw consent under the Consent Policy are never narrowed.

By creating an account or continuing to use the platform you confirm that you have read and agree to these terms and the Privacy Policy.

2. Accounts and age

You must be 18 or older. The platform is for working adults and final-year students; it is not designed for children and we close accounts when we find a user under 18.

Sign in with a one-time email code or a Google account; a password is optional. You are responsible for keeping your email and devices secure and for telling us if you suspect unauthorised access.

One person, one account. An account can belong to several organisations (tenants) at once; your learning data is not shared between organisations automatically.

3. The service and what we do not promise

We provide personalised study plans, sessions with feedback, measurement and evidence of capability, an AI tutor, pathways and live sessions with teachers.

We do not promise a specific score or certificate. Forecasts (such as P50/P80 weeks) are statistical estimates based on your data and change as the data changes.

Some features are marked Beta: they may change, pause or be removed with reasonable notice. We aim for 99.9 % monthly availability of the core learning service but do not guarantee uninterrupted service.

We may change features, the interface and AI models to improve quality; changes that affect your rights are announced as described under Changes.

4. Plans, payment, refunds

Prices are listed per market in local currency, tax included; there is no exchange-rate conversion at checkout.

Monthly and annual plans renew automatically until you cancel. Upgrades and downgrades are charged pro rata for the days left in the period. You can pause for 1–3 months or cancel at the end of the period; cancelling takes no more than 3 steps and the cancel button is never hidden.

Failed payments: we retry up to 3 times within 7 days and email you; after a 7-day grace period the account moves to the Free plan and your data is kept.

Refunds: according to the law of your market and the refund policy published with the price list. Refund requests are processed by value thresholds, with a second approver for large amounts.

Organisation-provided accounts: the organisation pays; you are not charged and cannot buy add-ons for that account unless the organisation allows it.

5. Your content

You keep ownership of your voice recordings, text, documents and everything else you bring to the platform.

You grant us the right to use that content only to provide the service to you (scoring, feedback, planning, storing evidence) for the purposes you have agreed to in the Consent Policy. No purpose is implied by these terms.

You confirm that you have the right to upload the documents you use (for example company material) and that you do not bring other people's personal data onto the platform without permission.

You can delete your content at any time; copies may remain in backups for up to 30 days.

6. Prohibited conduct

  • Using the platform to harass, defraud, distribute illegal content or infringe other people's rights.
  • Deliberately gaming the measurement (for example feeding pre-generated speech to obtain a capability claim) — claims obtained this way are revoked.
  • Accessing another tenant's data without authorisation, probing the system, or automating account creation.
  • Sharing accounts, reselling access, or using the platform to build a competing product through bulk extraction.
  • Recording a live session without the consent of everyone in it.

Violations may lead to a warning, suspension or termination depending on severity.

7. AI and its limits

AI tutor feedback, suggestions and conversations are generated automatically and can be wrong. AI is a support tool; decisions about your plan, capability claims and progress are made by our rule-based software from evidence, not by an AI model on its own.

Documents you upload are treated as untrusted content for the AI: only structured vocabulary and situations are extracted, they are not used to train third-party models and they are not written to raw logs.

We may lower the AI model tier when your plan's budget is used up to keep costs under control; this never affects capability assessment slots.

Do not rely on the AI tutor for legal, medical or financial advice.

8. Intellectual property

The platform, engine, rubrics, item banks, interface and trademarks belong to us or our licensors. You receive a personal, non-exclusive, non-transferable licence to use them while your account is active.

A capability certificate (shareable page) contains only your verified claims; you may share its link, but not alter its content or present it as a certificate issued by a third party.

White-label partners may change only the elements listed in the partner agreement; scoring and recognition standards belong to the platform.

9. Liability

To the extent permitted by law, our total liability to you is limited to the amount you paid in the 12 months before the event giving rise to the claim, or a statutory minimum in your market if higher.

We are not liable for indirect losses such as lost job opportunities, lost revenue or exam results.

Nothing here excludes liability that cannot be excluded by law, including liability for personal data under applicable data-protection law.

10. Suspension and termination

You can delete your account at any time under Me → Privacy. There is a 30-day grace period to change your mind; after that, data is hard-deleted except what the law requires us to keep (for example invoices).

We may suspend or terminate an account when you breach these terms, when required by a competent authority, or when we stop offering the service in your market (with at least 60 days' notice and the ability to export your data).

Organisation-provided accounts: when the organisation ends its contract or removes you, the organisation's entitlement stops; your personal account and data are kept according to your consents.

11. Changes to these terms

We may update these terms. Minor changes (typos, clarifications) take effect on publication. Changes that affect your rights or obligations are announced at least 30 days in advance by email and an in-app banner, with a version and effective date; you will be asked to accept again once.

If you do not agree, you can cancel your plan and delete your account before the effective date at no cost.

12. Governing law and disputes

These terms are governed by the law of Vietnam for users in Vietnam; for other markets, the consumer law of that market may apply.

Disputes are first addressed by negotiation for 30 days; failing that, by the competent court where we are established, unless your consumer-protection law provides otherwise.

This is a draft; the governing-law and dispute clauses will be finalised by counsel per market before taking effect.
